1. Acceptance of Terms

By downloading, installing, or using Chell ("the Software"), including any associated desktop applications, mobile applications, command-line interfaces, or services provided by Cerulin ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Software.

2. Description of Service

Chell is an integrated workspace for managing AI coding agents. The Software allows you to:

• Connect to and manage multiple AI coding agents from a unified interface
• Sync sessions between desktop and mobile devices
• Execute commands and manage files through integrated terminals
• Receive notifications about agent activity

The Software uses end-to-end encryption for communications between your devices. We do not have access to your prompts, conversations, or code.

3. User Accounts and API Keys

Chell operates on a "bring your own key" model. You are responsible for:

• Providing your own API keys for AI services (Claude, OpenAI, etc.)
• Maintaining the security and confidentiality of your API keys
• All charges incurred through the use of your API keys
• Compliance with the terms of service of third-party AI providers

We do not store, transmit, or have access to your API keys. They are stored locally on your devices and encrypted in transit.

4. Acceptable Use

You agree not to use the Software to:

• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Transmit malware, viruses, or other harmful code
• Attempt to gain unauthorized access to our systems or other users' data
• Interfere with or disrupt the integrity of our services
• Reverse engineer, decompile, or disassemble the Software, except as permitted by law

5. Intellectual Property

The Software and all associated trademarks, logos, and content are the property of Cerulin and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Software for personal or internal business purposes.

You retain all rights to your code, prompts, and any content you create or process using the Software.

6. Privacy and Data

Your use of the Software is also governed by our Privacy Policy. Key points:

• Communications between your devices are end-to-end encrypted
• We cannot access your prompts, conversations, or code
• We collect minimal telemetry data to improve the Software
• We do not sell your data to third parties

7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Software will be uninterrupted, error-free, or secure. You use the Software at your own risk.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CERULIN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE.

Our total liability for any claims arising from your use of the Software shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

9. Indemnification

You agree to indemnify and hold harmless Cerulin and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Software or violation of these Terms.

10. Termination

We may terminate or suspend your access to the Software at any time, with or without cause, with or without notice. Upon termination, your right to use the Software will immediately cease.

You may stop using the Software at any time by uninstalling it from your devices.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes by posting an update on our website or within the Software. Your continued use of the Software after changes are posted constitutes acceptance of the modified Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law provisions.
